In our focus region cross-border agreements for the acquisition of equity interests in companies, warranty deeds, joint venture agreements and shareholders’ agreements are frequently governed by English law. This usually provides the parties with the benefit of greater legal certainty as well as greater contractual flexibility. In such cases we work closely with local counsel to ensure that the agreements accurately reflect any mandatory company law requirements.

Advised the management of CanArgo Georgia Ltd on the acquisition of shares in CanArgo Limited, which holds 50% interests in three joint venture companies with oil and gas production sharing contracts in Georgia.
Advised the principal shareholder of the Oltan Group, the largest hazelnut processor and exporter in Turkey, on the sale of all shares in the Group’s Turkish, UK and French companies to Ferrero.
Advised Asian Development Bank on its $30 million subscription for 13.9% of the shares in Ameriabank CJSC, the largest bank by assets in Armenia, including amendment of the shareholders’ agreement.
Advised CapAsia on its $50 million investment by its Islamic Infrastructure Fund in JSC Central Asian Electric Power Corporation in Kazakhstan, including amendment of the shareholders’ agreement.
Advised EBRD on its $45 million subscription for shares in the agricultural JSC Holding Kazexportastyk, its first equity investment in the Kazakh agribusiness sector and the conclusion of a shareholders’ agreement.
